Exclusive Option Agreement to acquire Serres Thériault (2021) Inc.

GHG executed an Exclusive Option Agreement (the “Agreement”) to acquire Serres Thériault (2021) Inc. (“STI”), a multi-faceted vertically integrated cannabis operator in New Brunswick. 

This transaction provides the Company a clear pathway to further diversify its activities in the industry and importantly, access to licenses from Health Canada. This will be an important step in furthering the Company’s R&D ambitions for its Health and Wellness division, which initial foundation encompasses the Exclusive Licenses relating to key patents and IP acquired from Apollon Formularies plc in 2023.

Exclusive Licensing of Bioactive Lipid Agents Technology

GHG has executed a Letter of Intent with B-Organic R&D Corp. to exclusively license its Bioactive Lipid Agents (“BLA”) technology, a patented innovative matrix which is able to increase the solubility and bioavailability of numerous “poorly soluble pharma ingredients” including cannabinoids. The application of BLA extends to numerous industries such as food, pharmaceuticals, healthcare, drugs, agriculture, and nutraceuticals. This LOI marks the next step in the Company's strategic expansion of its biopharma business segment.

Exclusive Perpetual Licensing of Apollon Formularies Patents & IP

GHG has acquired the exclusive perpetual licenses to certain Apollon Intellectual Property and proprietary technology, including four key patents along with any and all associated preclinical and clinical data relating to the patents and proprietary technology.

Apollon Formularies Plc. is a UK-based international pharmaceutical company developing cancer treatments from natural biologics, including medical cannabis, functional mushrooms, psychedelic mushrooms and combinations of these compounds, which to date have shown successful independent, third-party results in preclinical testing. Apollon utilizes an artificial intelligence-based drug discovery platform.

 Research & Development Division

Research and Development is an important component for GHG’s vision for the future. After an 80 year moratorium on hemp while it was illegal, hemp remains one of the few industries in the world where significant technological advancement has not occurred.

Legalization of hemp and cannabis in Mexico is creating great opportunities for GHG. The Company’s R&D Division, located in Querétaro Mexico, is expanding its collaboration efforts with local groups, as well as its scope of development. Having hemp grown in-country will make hurd and fibre more readily available, allowing for significant expansion of the Company’s R&D efforts to develop patented Intellectual Property for hemp-based eco-friendly “green” construction materials, amongst other initiatives. HAIZ is an acronym for Hemp Agro-Industrial Zone. This phase of the Company’s business strategy utilizes the exceptional properties of the whole hemp plant. Through partnerships, joint ventures, and acquisitions, Global Hemp Group will collaborate to build an industrial complex for the full exploitation of the hemp plant with a strategic portfolio of forward-thinking companies that also believe in the disruptive potential of industrial hemp. Quebec Hemp Agro-Industrial Zone

The principal feature of the Hemp Agro-Industrial Zone (“HAIZ”) concept is the proximity of the industrial plant to the supply of raw materials and final markets. This is particularly true with the choice of which is close to farming, available industrial park space, and is in the region where there is a desire to create affordable housing where manufactured products can be utilized.
