Important Dates and Times for Participating in the Sweepstakes:  The Sweepstakes is divided into five (5)weekly random drawings (each a “Weekly Sweepstakes”). Each Weekly Sweepstakes has a corresponding entry period (each a “Weekly Entry Period”) starting and ending at the dates and times listed in the following chart:

Sponsor’s clock will be the official timekeeper for the Sweepstakes.  

Agreement to Official Rules. By entering or participating in the Sweepstakes, you (and, if you are a Minor (as defined below) your parent or legal guardian) accept and agree to be bound by these “Official Rules.” Winning a prize and receipt thereof (and, if you are a Minor, receipt thereof by your parent or legal guardian) is contingent upon fulfilling all requirements set forth in these Official Rules. 

Eligibility. The Sweepstakes is open to individuals who are 13 years of age or older at the time of entry, except where prohibited. All entrants under the legal age of majority in their jurisdiction of residence (each a “Minor”) must obtain consent from their parent or legal guardian to participate. By permitting a Minor to participate in the Sweepstakes, such Minor’s parent or legal guardian represents and warrants that he or she has read, understands and agrees to the terms and conditions of these Official Rules on behalf of both the parent or legal guardian and on behalf the Minor. Persons who are residents of or located in the states of New York or Florida, the Crimea Region of Ukraine, or any country or territory subject to OFAC comprehensive sanctions programs from time to time, including but not limited to Cuba, Democratic People’s Republic of Korea, Iran, Syria, and any person found on the OFAC specially designated nationals, blocked persons list, or any other consolidated prohibited persons list as determined by any applicable governmental authority are not eligible to participate in the Sweepstakes. Employees of Sponsor and its parent company, affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, individuals providing services to Sponsor through an outsourcer or temporary employment agency during the Sweepstakes Period, and their respective immediate family members and persons living in the same household, are not eligible to participate in the Sweepstakes. 

Entrants are only eligible to win once during the entire Sweepstakes Period - If you are selected as a winner of any Weekly Sweepstakes during the Sweepstakes Period you are not eligible to participate in any of the other Weekly Sweepstakes. (Please see Section 3 below titled “How to Enter,” for further information.) 

How to Enter. During the Sweepstakes Period, you may enter the Sweepstakes as follows:

Enter by Golden Wallet:  During a Weekly Entry Period you may enter the corresponding Weekly Sweepstakes (as indicated in the chart above) by completing the following steps: 

Download and install any of the following of Sponsor’s free or paid applications available at www.bittorrent.com or www.utorrent.com: µTorrent Classic, µTorrent Web, µTorrent Ad-Free, µTorrent Pro, µTorrent Pro+VPN, BitTorrent Classic, BitTorrent Web, BitTorrent Ad-Free, BitTorrent Pro, or BitTorrent Pro+VPN (each, a “Qualifying Application”). Each Qualifying Application includes a Speed crypto currency wallet (“Golden Wallet”). 

After installing a Qualifying Application, follow the instructions within the Qualifying Application to set up the Golden Wallet and enter the Sweepstakes.

By downloading a Qualifying Application, you agree to the Terms of Use located at https://www.bittorrent.com/legal/terms-of-use/ and Privacy Policy located at https://www.bittorrent.com/legal/privacy-policy/. Eligible persons that complete steps (i) and (ii) above will receive one (1) entry into the Weekly Sweepstakes in effect at the time the entry is received. 

Enter by Email Address Submission: During a Weekly Entry Period, to enter the corresponding Weekly Sweepstakes (as indicated in the chart above) without obligation, submit your email address on the Sweepstakes website at https://www.bittorrent.com/promotions/goldenwallet/. You must use a valid email address when you submit your email address to enter. Eligible persons will receive one (1) entry into the Weekly Sweepstakes in effect at the time their email address is received. 

A potential winner that entered by email (and, if the potential winner that entered by email is a Minor, such potential winner’s parent or legal guardian) must have a crypto currency wallet public address at the time of delivery of a prize to receive the prize. Please see Section 6 below titled “Notification of Winners,” for further information.   

Non-winning entries will carry forward into each subsequent Weekly Sweepstakes. In other words, for any Weekly Sweepstakes for which you have completed a valid entry using either entry method (a) (by Golden Wallet) or (b) (by Email Address Submission), each as described above, but were not selected as a winner via the applicable random drawing, you will receive one (1) entry into the next week’s Weekly Sweepstakes. This carryover of entries will be repeated for each remaining week of the Sweepstakes after your initial entry, provided that you are not selected as a winner. 

All entries become property of Sponsor and none will be acknowledged or returned. Entries generated by script, macro or other automated or mechanical means or with the intent to subvert the entry process are void. 

Limit one (1) entry per person per Sweepstakes Period. Except for the carryover of non-winning entries to the next Weekly Sweepstakes as stated above, only one (1) entry per person per Sweepstakes Period is permitted, regardless of method of entry. Proof of submission of an entry does not constitute proof of receipt.  

There is a limit of one (1) prize per person per Sweepstakes Period. Entrants who are selected as the winners of any Weekly Sweepstakes are ineligible to participate in any other Weekly Sweepstakes during the Sweepstakes Period and any additional entries in such instances are void. 

Prize Drawing. All Sweepstakes entries meeting the requirements of these Official Rules will be entered into the prize drawings for the Weekly Sweepstakes in effect at the time the entry is received as described in Section 3.  The prize drawings for each Weekly Sweepstakes will be held on or around seventy-two (72) hours following the end of the applicable Weekly Entry Period. The drawing will be conducted either by independent persons or a computer program that randomly chooses the potential winner, from all eligible entries received and the random selection is final and binding. There will be four (4) potential prize winners for Weekly Sweepstakes #1, 2, 3 and 4 (1 per each Weekly Sweepstakes) and one (1) potential grand prize winner for Weekly Sweepstakes #5. Each winner is considered a potential winner pending verification of his/her eligibility and compliance with these Official Rules. If a prize is won by a Minor, it will be awarded to a parent or guardian on the Minor’s behalf. 

Prizes and Odds. The prizes to be awarded for each of the five (5) Weekly Sweepstakes are as follows:

1. One (1) prize for Weekly Sweepstakes #1:     1 million BTT. “BTT” means the cryptocurrency token native to BitTorrent and µTorrent applications.
2. One (1) prize for Weekly Sweepstakes #2:     1 million BTT. 
3. One (1) prize for Weekly Sweepstakes #3:     1 million BTT.
4. One (1) prize for Weekly Sweepstakes #4:     1 million BTT.
5. One (1) grand prize for Weekly Sweepstakes #5:     10 million BTT.

As of August 12, 2021 at 9:00 am PT, the approximate retail value (“ARV”) of 1 million BTT is $4,415 (USD), the ARV of 10 million BTT is $44,150 (USD), and the total ARV of all prizes to be awarded is $61,810 (USD). At the time of delivery of the prize, if the ARV of 1 million BTT falls below $5,000 (USD) and the ARV of 10 million BTT falls below $50,000 (USD), the number of BTT awarded will be increased to match an ARV of at least $5,000 (USD) for the prize winners of Weekly Sweepstakes #1, 2, 3 and 4 and an ARV of at least $50,000 (USD) for the grand prize winner of Weekly Sweepstakes #5.

DISCLOSURE: THE VALUE OF CRYPTOCURRENCY IS SUBJECT TO CHANGE. THERE CAN BE A SUBSTANTIAL RISK THAT IT COULD LOSE VALUE (POSSIBLY ALL VALUE).  

The odds of winning a prize depend on the total number of eligible entries received. The right to receive a prize is non-assignable, non-transferable and no prize substitution or exchange by winner is permitted. Sponsor reserves the right to substitute a prize of equal or greater value in its sole discretion. Sponsor will not replace any lost or stolen prizes. Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to prizes. You (and, if you are a Minor, your parent or legal guardian) agree to provide Sponsor with any additional information and complete any required tax or other forms relating to your receipt of a prize. 

Notification of Winners. Potential winners will be notified via a notification in their Golden Wallet or via email to the email address associated with their entry within five (5) business days of each prize drawing, and as a condition of being awarded a prize, a potential winner (and, if entrant is a Minor, potential winner’s parent or legal guardian) must sign and return any required affidavit of eligibility and publicity/liability release forms or similar documentation. Sponsor will attempt to notify winners as provided above, however, without limiting any other terms of these Official Rules, Sponsor assumes no responsibility for undeliverable emails (e.g., resulting from any form of active or passive filtering by an email client or for insufficient space in an email account to receive an email). If a potential winner (and if entrant is a Minor, potential winner’s parent or legal guardian, as applicable) cannot be contacted, is ineligible, fails to claim a prize, fails to complete any required affidavit of eligibility or publicity/liability release within three (3) days after notification and/or fails to comply with any of the requirements, the prize may be forfeited and an alternate potential winner may be randomly selected from remaining valid, eligible entries received. All potential winners (including those that entered by email) (and, if the potential winner is a Minor, such potential winner’s parent or legal guardian) must have a crypto currency wallet public address at the time of delivery of a prize to receive the prize. As stated above, if a prize is won by a Minor, it will be awarded to the parent or legal guardian on the Minor’s behalf. If a potential winner (and, if the potential winner is a Minor, such potential winner’s parent or legal guardian), regardless of method of entry, does not have a crypto currency wallet public address at the time of prize delivery, or does not timely set one up, the potential winner will forfeit the prize. Upon prize forfeiture or inability to use a prize or portion thereof, no compensation will be given, and Sponsor will have no further obligation to such entrant. In the event of a dispute as to the identity or eligibility of a potential winner based on an email address, the entry will be deemed submitted by the Authorized Account Holder of the email account specified in the entry. “Authorized Account Holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Prizes will be fulfilled within approximately one (1) to two (2) weeks of winner verification.

Disclaimers and Limitations on Liability.

1. Sponsor is not responsible for (i) late, lost, delayed, damaged, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by email or otherwise; (ii) theft, destruction, unauthorized access to or alterations of entry materials; or (iii) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties or any technical hardware or software failures of any kind, which may limit a person’s ability to participate in the Sweepstakes. 

THE PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE SWEEPSTAKES, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Indemnification. You (and, if you are a Minor, your parent or legal guardian) agree to release, indemnify, defend and hold Sponsor and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Sweepstakes, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Sweepstakes or acceptance or use of a prize or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor’s control that may cause the Sweepstakes to be disrupted or corrupted; (ii) the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; and (iii) any printing or typographical errors in any materials associated with the Sweepstakes.

Additional Conditions. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Sweepstakes in whole or in part, if in Sponsor’s opinion (a) the Sweepstakes is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, or (b) any other factors beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, in all instances without liability to the entrants. Sponsor also reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion.

Governing Law and Choice of Forum. These Official Rules are governed by the laws of the State of California, in the United States of America without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Sweepstakes or these Official Rules must be brought in either the federal or state courts located in the Northern District of California or the state courts located in San Francisco County.

Personal Information; Disclosure of Name. Sponsor may collect personal data about entrants online, in accordance with its Privacy Policy and as may be more specifically set forth in these Official Rules. Please review these Official Rules and Sponsor’s Privacy Policy at https://www.bittorrent.com/legal/privacy-policy/. Subject to the terms of these Official Rules, each winner (and, if winner is a Minor, winner’s parent or legal guardian), by acceptance of a prize, hereby grants Sponsor and its designees the right, license, permission and consent to publicly disclose such winner’s name and prize information in any and all media now known or hereafter created, throughout the world in perpetuity, without additional compensation, notification or permission, unless prohibited by law. 

Winners List. For the names of all prize winners, visit the Sweepstakes website at https://www.bittorrent.com/promotions/goldenwallet/ within six (6) months of the end of the Sweepstakes Period. The winners list will be available after all winners have been verified.
